These Terms of Use ("Terms") govern your access to and use of the websites, career application features, and related online properties operated by Medexity ("Medexity," "we," "us," or "our"), including medexity.io (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility and authority

You represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. If you access the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" includes the entity.

2. The Site and services

The Site provides general information about Medexity, our products and capabilities in the healthcare technology space, and career opportunities. Unless we expressly agree otherwise in a separate written contract, use of the Site does not create a customer, partnership, or employment relationship.

Enterprise offerings (including software, hardware integration, and professional services) are subject to separate order forms, master services agreements, statements of work, and data protection terms.

3. Accounts and restricted areas

Certain areas (such as administrative interfaces) may require credentials. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at security@medexity.io of any unauthorized use.

We may suspend or terminate access where we reasonably believe there is a security risk, violation of these Terms, or legal requirement.

4. Acceptable use

You agree not to:

  • Violate applicable law, third-party rights, or export control or sanctions rules;
  • Probe, scan, or test the vulnerability of the Site or breach security or authentication measures without authorization;
  • Interfere with or disrupt the Site, servers, or networks (including denial-of-service attacks);
  • Use automated means (including scraping, harvesting, or bots) to access the Site in a manner that overloads our systems or circumvents rate limits, except as allowed by robots.txt or with our prior written consent;
  • Upload malware, attempt unauthorized access to data or systems, or use the Site to distribute spam or deceptive content;
  • Misrepresent your identity or affiliation, or submit false or fraudulent application materials.

5. Intellectual property

The Site, including software, text, graphics, logos, layouts, and compilation ("Content") is owned by Medexity or our licensors and is protected by copyright, trademark, and other intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful, internal business or personal purposes.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Content without our prior written consent. Trademarks displayed on the Site are the property of their respective owners.

6. Careers and applications

Job postings and application features are provided for recruiting purposes only. Submission of an application does not guarantee an interview or offer. You warrant that information you provide is accurate and that you have the right to share any materials you upload.

Processing of personal data in connection with applications is described in our Privacy Policy.

7. Third-party links and services

The Site may reference or link to third-party websites, services, or content. We do not control and are not responsible for third-party practices. Your use of third-party services is at your own risk and subject to their terms and policies.

8. Feedback

If you provide suggestions, ideas, or feedback about our products or the Site ("Feedback"), you grant Medexity a perpetual, irrevocable, worldwide, royalty-free license to use, disclose, and exploit Feedback for any purpose without obligation or compensation to you, except where prohibited by law.

9. No medical or professional advice

Content on the Site is for general informational purposes only and does not constitute medical, legal, or professional advice. Nothing on the Site is a substitute for qualified clinical judgment or enterprise procurement and compliance processes. Reliance on Site content is at your own risk.

10. Disclaimers

THE SITE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MEDEXITY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID US (IF ANY) FOR ACCESS TO THE SPECIFIC FEATURE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

12. Indemnification

You will defend, indemnify, and hold harmless Medexity and its affiliates, officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of third-party rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. The exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Site will be the competent courts located in Tel Aviv-Yafo, Israel, subject to mandatory consumer protections in your jurisdiction where applicable.

14. Changes

We may modify these Terms at any time. We will post the updated Terms on the Site and update the "Last updated" date. Material changes may require additional notice where required by law. Continued use after changes become effective constitutes acceptance of the revised Terms.

15. General

15.1 Entire agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement regarding the Site.

15.2 Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

15.3 Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.

15.4 No waiver

Failure to enforce any provision is not a waiver of our right to enforce it later.

15.5 Electronic communications

You consent to receive communications from us electronically, including notices posted on the Site or sent to the email address you provide.
